Terms of Service

These Terms of Service govern your use of the Vet-ly application and services. Please read them carefully.

Acceptance of Terms

By accessing and using Vet-ly (“the Service”), you accept and agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use the Service.

Service Description

Vet-ly is a cloud-based standard operating procedure management application designed for veterinary clinics. The Service provides tools for creating, managing, and tracking SOPs, tasks, and team accountability, including AI-assisted content generation features.

  • Digital SOP and procedure management
  • AI-assisted SOP drafting and editing (see AI-Generated Content section below)
  • Task assignment and tracking
  • Team collaboration and accountability
  • Manager's Log with permanent data retention
  • Real-time notifications and alerts
  • File storage for instructional media

Account Registration & Security

  • You must provide accurate and complete information during registration
  • You are responsible for maintaining the confidentiality of your account credentials
  • You must notify us immediately of any unauthorized use of your account
  • Each user must have their own individual login credentials
  • Owners and Managers are responsible for managing team member access
  • You must be at least 18 years old to create an account

Subscription & Billing

  • 14-day free trial for new accounts (no credit card required)
  • After trial: $149/month subscription fee
  • Billing processed through Stripe on monthly basis
  • Subscription automatically renews unless canceled
  • Cancel anytime from the Settings page
  • No refunds for partial months
  • Price changes will be notified 30 days in advance
  • Expired billing results in read-only access (data not deleted)

Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms.

You may not:

  • Violating any applicable laws or regulations
  • Sharing account credentials with unauthorized users
  • Attempting to access another clinic's data
  • Reverse engineering or attempting to extract source code
  • Uploading malicious files or viruses
  • Using the Service to store illegal or harmful content
  • Exceeding reasonable usage limits or attempting to disrupt service
  • Scraping or automated data collection without permission

Your Data & Ownership

  • You retain all ownership rights to your clinic's data
  • You grant us license to host and process your data to provide the Service
  • You are responsible for the accuracy and legality of data you upload
  • You must have necessary rights to upload instructional media
  • We do not claim ownership of your procedures, tasks, or content
  • Data export available in CSV format
  • Data deletion available upon account termination

AI-Generated Content

The Service includes AI-assisted features that generate draft SOP content, including procedure instructions, safety guidelines, required resources, and regulatory references. These features use third-party AI models (currently Anthropic) to produce content based on your input and your clinic’s settings (such as your state). By using these features, you acknowledge and agree to the following:

  • AI-generated content is provided as a draft and starting point only. It is not a finished product and requires human review before use.
  • AI-generated content does not constitute veterinary medical advice, legal advice, regulatory advice, or professional guidance of any kind.
  • Regulatory references included in AI-generated content (including citations to DEA, OSHA, FDA, USDA, AVMA, AAHA, state veterinary medical boards, and other authorities) are informational only. They may be incomplete, outdated, or inaccurate and do not guarantee regulatory compliance.
  • Your clinic is solely responsible for reviewing, verifying, editing, and approving all AI-generated content before implementation. All procedures should be reviewed and approved by a licensed veterinarian, Practice Owner, or qualified Practice Manager.
  • AI-generated content is not a substitute for the professional judgment of a licensed veterinarian or other qualified professional. You should not rely on AI output as the sole basis for clinical, operational, or regulatory decisions.
  • We make no representations or warranties regarding the accuracy, completeness, reliability, or suitability of any AI-generated content for any particular purpose.
  • We are not liable for any errors, omissions, or consequences arising from the use of AI-generated content, including but not limited to regulatory non-compliance, patient harm, or operational failures.
  • AI features are rate-limited and may be unavailable or produce unexpected results. Service availability is not guaranteed.
  • Your prompts and AI-generated SOP content (excluding your clinic name, personal information, and additional context) may be saved as anonymous community templates accessible to other users of the Service.

Termination

Either party may terminate this agreement at any time.

By You

Cancel your subscription anytime from Settings. Access continues until end of billing period.

By Us

We may suspend or terminate accounts that violate these Terms, with notice when possible.

Effect of Termination

Upon termination, your data will be retained for 30 days, then permanently deleted. Export your data before canceling.

Disclaimers & Limitations

THE SERVICE, INCLUDING ALL AI-GENERATED CONTENT, TEMPLATES, AND REGULATORY REFERENCES, IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

  • We do not guarantee uninterrupted or error-free operation
  • You are responsible for maintaining backup copies of critical data
  • We are not liable for data loss due to user error or service issues
  • We are not responsible for the accuracy, completeness, or reliability of any user-generated or AI-generated content, including regulatory references and compliance information
  • We do not guarantee that AI-generated content complies with any federal, state, or local laws, regulations, or professional standards
  • The Service is not a substitute for professional veterinary, legal, or regulatory advice. You should consult qualified professionals for such matters.
  • Maximum liability limited to fees paid in the 12 months prior to claim
  • We are not liable for indirect, incidental, special, consequential, or punitive damages, including but not limited to damages arising from regulatory non-compliance, patient harm, or reliance on AI-generated content

Modifications to Service & Terms

We reserve the right to modify the Service or these Terms at any time. Material changes will be notified via email and in-app notification at least 30 days before taking effect. Continued use of the Service after changes constitutes acceptance of new terms.
